Agreement to Terms

These Terms of Service ("Terms") govern your use of BitSafe's digital asset yield management platform and services (the "Service") operated by DLC (BVI) Holdings Ltd ("BitSafe," "we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms.

If you disagree with any part of these Terms, then you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

Definitions

• "Service" refers to the BitSafe platform, website, and yield management services
• "User" refers to any individual or entity using our Service
• "Digital Assets" refers to cryptocurrencies, including Bitcoin and wrapped Bitcoin variants
• "Yield Products" refers to investment strategies offered through our platform
• "Partner Funds" refers to hedge funds and trading firms providing yield strategies

Eligibility and Account Registration

Eligibility Requirements

To use our Service, you must:

• Be at least 18 years old (or the age of majority in your jurisdiction)
• Have legal capacity to enter into binding agreements
• Not be prohibited from using financial services under applicable law
• Complete our KYC (Know Your Customer) verification process
• Meet minimum investment thresholds for institutional services
• Comply with all applicable laws and regulations

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.

Service Description

BitSafe provides a platform for accessing institutional-grade Bitcoin yield strategies through:

• Access to curated yield products from regulated hedge funds
• Simplified onboarding with single-KYC verification
• Support for multiple Bitcoin variants (BTC, cbBTC, iBTC, wBTC)
• Transparent reporting and analytics
• Custodial and self-custodial options

We act as an intermediary and technology provider. Investment decisions and fund management are performed by our Partner Funds.

Investment Risks and Disclaimers

HIGH RISK WARNING: Digital asset investments carry significant risks. You may lose some or all of your investment. Key risks include:

• Market volatility and potential total loss of capital
• Regulatory changes affecting digital assets
• Technology risks, including smart contract vulnerabilities
• Liquidity risks and redemption delays
• Counterparty risks with Partner Funds
• Operational risks in digital asset management

Past performance does not guarantee future results. You should only invest what you can afford to lose and seek independent financial advice before investing.

User Obligations and Prohibited Activities

You agree to:

• Provide accurate and complete information during registration
• Comply with all applicable laws and regulations
• Not use the Service for illegal activities or money laundering
• Not attempt to manipulate or disrupt the Service
• Not share your account credentials with third parties
• Report any suspicious activities or security breaches

Prohibited Activities

Users are prohibited from engaging in market manipulation, fraud, money laundering, terrorist financing, or any activities that violate applicable laws or regulations.

Fees and Charges

BitSafe charges fees for platform access and services. Fees may include:

• Platform access fees
• Management fees for yield products
• Performance fees based on returns
• Transaction and withdrawal fees

Detailed fee information is provided in your account dashboard and offering documents. We reserve the right to modify fees with appropriate notice.

Intellectual Property Rights

The Service and its original content, features, and functionality are owned by BitSafe and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works of our content without explicit written permission.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BITSAFE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

Our total liability shall not exceed the amount of fees paid by you to BitSafe in the twelve months preceding the claim.

Indemnification

You agree to indemnify and hold BitSafe harmless from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service ceases immediately.

You may close your account at any time by following the procedures outlined in your account settings, subject to settlement of outstanding obligations.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to conflict of law principles.

Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the London Court of International Arbitration.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or platform notification. Continued use of the Service after changes constitutes acceptance of the new Terms.
